1. Confidential information

Any information one party shares with the other for the Purpose — business, financial, technical or customer information — that is marked confidential or would reasonably be understood to be confidential.

2. Obligations

  • Use the information only for the Purpose.
  • Keep it confidential and share it only with employees and advisers who need it and are bound to confidentiality.
  • Return or destroy it on request.

3. Exceptions

Information that is public (not through a breach), already known, independently developed, or that the law or a court requires to be disclosed.

4. Term

These obligations last for [two] years from the date of signature, or longer for trade secrets.

5. General

This agreement creates no partnership and no obligation to do business. It is governed by South African law.
